Welcome to EasyBook! These Terms of Service ("Terms") govern your access to and use of the EasyBook inventory management platform and related services ("Service") provided by EasyBook ("we," "us," or "our"). By creating an account, starting a free trial, subscribing, or using the service, you agree to be bound by these Terms.If you do not agree, do not use the service

Who we are

Easybook is operated by Luztow Resources Ltd.

Definitions

  • "User", "you" means any person accessing or using the service
  • "Customer" means the business entity subscribing to a paid plan.
  • "Customer Data" means all datayou upload, enter, generate or store in the Service(e.g., products, inventory/stock,sales, invoices/receipts, customer records, staff accounts, reports)
  • "Subscription" means your paid access under a plan(monthly or yearly)

1. Acceptance of Terms

By creating an account or using EasyBook, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Service.

2. Description of Service

EasyBook is an inventory management platform that helps businesses track their products, manage sales, and generate reports. Our Service includes:

  • Inventory tracking and management
  • Sales recording and reporting
  • Customer management
  • Category organization
  • Subscription-based access to premium features
  • Calculate/estimate monthly 7.5% VAT from recorded transactions(where applicable)
    • (These features may evolve over time as the service is improved)

3. User Accounts

3.1 Account Creation

To use EasyBook, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the confidentiality of your account credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms or for other reasons we deem necessary.

4. Subscription and Payment

4.1 Subscription Plans

EasyBook offers both free and premium subscription plans. Premium features require an active subscription.

4.2 Payment Terms

Subscription fees are billed in advance on a monthly or annual basis. All payments are processed through our secure payment processor.

4.3 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in our refund policy.

5. Acceptable Use

5.1 Elligibility and Account Registration

You must be at least 18 years old and able to enter a binding contract to use the service. When you register, you agree to provide accurate information and keep it current. you are responsible for:

  • Keeping your login credentials secure
  • All activity under your account, including actions by your staff/users you authorize
you agree not to use EasyBook for any unlawful purposes or to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Use the Service to store illegal or harmful content

5.2 Plans, Free Trial, billing and payments

If you start a free trial, you may access the Service for the trial period shown on the website or in app. We may end a free trial early if you breach these terms. inventory on free trial are not transferrable to Subsciption plans.

5.3 Subscription Plans

Subscription options (including pricing, features, and duration) are displayed on our website or in the app and may be updated from time to time.

5.4 Billing and Renewal

By subscribing, you authorize us (and our payment partners) to charge you the applicable fees in advance for the chosen plan and renewals, unless you cancel before renewal.

5.5 Late or failed payments

If a payment fails or becomes overdue, we may suspend or restrict access until payment is received.

5.6 Refunds

Except where required by law or expressly stated in writing by us, subscription fees are non-refundable.

5.7 Cancellation and termination

Cancellation by you

You may cancel your subscription at any time. Cancellation stops future renewals. Unless required by law, cancelling does not automatically entitle you to a refund for fees already paid.

5.8 Termination by us

We may suspend or terminate access (with or without notice) if:

  • You breach these Terms
  • Your use threatens security, stability, or legal compliance
  • You fail to pay fees when due
  • We are legally required to do so

6. Acceptable use and restrictions

You must not (directly or indirectly):

  • Reverse engineer, decompile, or attempt to discover the source code of the Service
  • Copy, modify, translate, or create derivative works of the Service (except to the extent permitted by law)
  • Resell, rent, lease, sublicense, or provide the Service as a service bureau to third parties
  • Bypass access controls or attempt unauthorized access
  • Upload malware, harmful code, or interfere with performance
  • Use the Service unlawfully or infringe third-party rights
  • Use the Service to build a competing product

We may monitor and restrict usage where reasonably necessary to protect the Service and other users.

7. Customer data, privacy and security

7.1 Ownership

You own your Customer Data. Luztow Resources does not claim ownership over your Customer Data.

7.2. Permission to process data

You grant us permission to host, store, process, and display your Customer Data solely for:.

  • Providing the Service and its features
  • Backups and data recovery
  • Customer support
  • Improving the Service (including performance and reliability)

7.3 Security measures

We will use reasonable technical and organizational measures to protect Customer Data, but no system is 100% secure. You accept the risk of internet-based systems.

7.4 Privacy Policy

Personal data will be handled under our Privacy Policy. (You should publish a Privacy Policy aligned with Nigeria’s Data Protection Act regime.)​

8. Data availability, backups, and downtime

The Service is cloud-based and requires an internet connection. Service interruptions may occur due to:.

  • Scheduled maintenance
  • Emergency updates
  • Third-party provider outages
  • Events beyond our reasonable control

We do not guarantee uninterupted service.

9. VAT / tax disclaimer (important)

EasyBook may provide VAT tools that help you calculate or estimate VAT (including 7.5%) using transactions recorded in the Service.

We do not provide tax, legal, or accounting advice. You are responsible for:

  • Correctly categorizing VATable vs exempt items/transactions
  • Ensuring the completeness and accuracy of records entered
  • Filing, remitting, and complying with all applicable tax obligations

10. Intellectual property

The Service and all related software, branding, trademarks, designs, and content (excluding your Customer Data) are owned by Luztow Resources or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations during the term of your Subscription..

11.Third-party services

The Service may rely on or link to third-party services (payments, messaging, hosting, analytics). We are not responsible for third-party services, and their terms may apply.

12. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that:

  • The Service will be error-free or uninterrupted
  • Reports/insights/tax outputs will be accurate if your input data is inaccurate or incomplete

13. Limitation of liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profit, loss of revenue, loss of business opportunity, or loss/corruption of data
  • Our total liability for any claim related to the Service will not exceed the total subscription fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim

Nothing in these Terms limits liability that cannot be limited under applicable law.

14. Indemnity

You agree to indemnify and hold Luztow Resources harmless from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your unlawful use of the Service
  • Your customer Data (including claims that it infringes third -party rights)

15. Communications and notices

We may send notices via email, in-app notifications, WhatsApp, or by posting updates on our website. You agree that such notices are valid.

16. Governing law and dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.​ If a dispute arises, both parties will first attempt to resolve it through good-faith negotiations. If unresolved, disputes shall be resolved by the courts of competent jurisdiction in Nigeria.​

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and may notify you via the Service or email. Continued use means you accept the updated Terms.
